Azul S.A. Secures Key Approvals in Chapter 11 Restructuring

Azul S.A., Brazil’s leading airline by flight departures and destinations, has achieved a significant milestone in its Chapter 11 restructuring process.

The U.S. Court recently granted final approval for several critical motions, including a $1.6 billion debtor-in-possession (DIP) financing package.

Notably, no objections were raised by involved parties, highlighting Azul’s strong collaboration with its stakeholders.

This court approval is a pivotal step in Azul’s journey toward financial and operational transformation.

The DIP financing, paired with the company’s operating cash flows and ongoing support from strategic partners, ensures Azul can maintain its commitment to safe, reliable, and high-quality service for customers across Brazil and beyond.

The airline continues to operate normally while advancing its accelerated transformation plan.

Court Approvals & Future Prospects


John Rodgerson, Azul’s Chief Executive Officer, expressed optimism about the company’s future. “With the DIP financing secured and the backing of our key stakeholders, Azul is well-positioned to execute our transformation plan. We aim to emerge as a stronger, more competitive airline,” he said.

“This milestone reflects the resilience of our business and the dedication of our crew, customers, and partners.”

In addition to the financing approval, Azul filed an agreement with AerCap. The global lessor manages most of the company’s aircraft lease obligations.

This deal, pending court approval on August 13, 2025, is expected to deliver approximately $1 billion in contractual benefits.

The court also permitted Azul to reject two engine leases tied to non-operational engines. This move that will not impact the airline’s fleet, routes, or customer service.

These actions are part of Azul’s broader strategy to optimize its fleet, reduce long-term costs, and strengthen its financial foundation.

By streamlining its operations, Azul is positioning itself as a more agile and competitive player in the dynamic aviation industry.
